Welcome to Gibemart. These Terms and Conditions ("Terms") govern access to and use of the Gibemart website, mobile applications, delivery partner application, vendor portal, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.
1. Definitions
- "Gibemart" / "We" / "Us" means the Gibemart e-commerce platform and its operators.
- "User" / "Customer" means any person who browses, registers, or purchases products on the Platform.
- "Vendor" / "Seller" means any individual or business offering goods or services through the Platform.
- "Delivery Partner" / "Delivery Man" means individuals or companies providing delivery services via the Platform.
- "Shipping Company" means third-party logistics or courier service providers integrated with Gibemart.
- "Content" means text, images, videos, product descriptions, trademarks, and other materials displayed on the Platform.
2. Platform Role and Scope
Gibemart is a multi-vendor marketplace that provides a technology platform to connect Users, Vendors, Delivery Partners, and Shipping Companies. Unless explicitly stated, Gibemart does not own, manufacture, store, or sell products listed by Vendors.
Contracts for sale are formed directly between the User and the Vendor. Gibemart acts as a facilitator and intermediary for order placement, payments (where applicable), and logistics coordination.
3. Eligibility and Account Registration
- Users must be at least 18 years old or have legal capacity under applicable law.
- All parties must provide accurate, complete, and up-to-date information during registration.
- Each account is personal and non-transferable.
- Gibemart reserves the right to suspend or terminate accounts for false information, fraud, abuse, or violation of these Terms.
4. User Obligations
Users agree to:
- Provide accurate delivery and contact information.
- Pay applicable prices, taxes, and delivery fees.
- Use the Platform for lawful purposes only.
- Not misuse reviews, ratings, or dispute systems.
5. Vendor Obligations
Vendors agree to:
- Product Compliance
- Ensure products are genuine, lawful, and comply with local and international regulations.
- Provide accurate descriptions, images, pricing, and availability.
- Order Fulfillment
- Process and fulfill orders promptly.
- Maintain adequate inventory.
- Pricing and Taxes
- Be solely responsible for setting prices and paying applicable taxes.
- Customer Service & Returns
- Handle returns, refunds, and warranties according to Gibemart policies.
- Prohibited Items
- Not list counterfeit, illegal, or restricted items.
Gibemart may suspend or remove Vendors for policy violations.
6. Delivery Partners and Shipping Companies
- Delivery Partners and Shipping Companies operate as independent contractors, not employees, agents, or representatives of Gibemart.
- They are responsible for:
- Safe, timely, and professional delivery of orders.
- Compliance with traffic, labor, tax, and safety laws.
- Proper handling and custody of goods and, where applicable, cash collected on delivery.
6.1 Cash on Delivery ("Cash Collect") and Financial Liability
- Where Cash on Delivery (COD) is used, the Delivery Partner or Shipping Company acts as a temporary custodian of the collected cash.
- Transfer of Financial Responsibility:
- The Delivery Partner becomes fully financially responsible for the collected cash from the moment it is received from the Customer.
- Any loss, theft, misuse, or failure to remit collected cash to Gibemart within the prescribed settlement time shall be the sole responsibility of the Delivery Partner or Shipping Company.
- Gibemart is not liable for any cash loss occurring while in the custody of Delivery Partners or Shipping Companies.
6.2 Proof of Delivery and Transfer of Risk
- Risk of loss or damage to physical goods transfers from the Vendor to the Customer once proof of delivery is recorded.
- Proof of delivery may include, but is not limited to:
- Customer signature
- Delivery confirmation photo
- System-generated delivery confirmation via the Platform
- Once proof of delivery is provided, the order shall be deemed successfully completed.
7. Digital Products, Digital Content, and Licensing
- Nature of Digital Goods
- Digital products include software, applications, e-books, media files, subscriptions, activation keys, and downloadable or streamable content.
- License Grant (Not a Sale)
- When purchasing digital content, Users receive a limited, non-exclusive, non-transferable, revocable license to access and use the content for personal or internal business purposes only.
- Ownership of intellectual property remains with the Vendor or original rights holder.
- Non-Refundable Policy
- Digital products are generally non-refundable once accessed, downloaded, activated, or used, unless otherwise required by applicable law.
- Accessing or downloading digital content constitutes consumption of the product’s value.
- Restrictions
- Users may not copy, redistribute, resell, sublicense, share, or publicly display digital content unless expressly permitted.
- Any unauthorized use may result in account suspension and legal action.
8. Marketplace Role and Payment Agent Status
- For third-party sales, Gibemart acts solely as a technology platform and payment collection agent on behalf of Vendors.
- The legal contract for the sale of goods or services is strictly between the Vendor and the User.
- Gibemart does not:
- Manufacture, own, inspect, or guarantee Vendor products
- Provide warranties for third-party goods
- Payment collection by Gibemart does not imply ownership or responsibility for Vendor products.
7. Payments and Fees
- Payments may be processed via third-party payment service providers.
- Gibemart may charge:
- Platform service fees to Vendors.
- Delivery or convenience fees to Users.
- Fees are non-refundable except as required by law or stated in refund policies.
8. Returns, Refunds, and Disputes
- Return and refund eligibility depends on Vendor policies and applicable laws.
- Gibemart may provide a dispute resolution mechanism but is not obligated to resolve all disputes.
- Vendors bear primary responsibility for product-related disputes.
9. Ratings and Reviews
- Users may submit honest reviews based on real transactions.
- Fake, abusive, or misleading reviews are prohibited.
- Gibemart reserves the right to remove or moderate content.
10. Intellectual Property
All Platform software, branding, and design belong to Gibemart or its licensors. Vendors grant Gibemart a non-exclusive license to use product content for marketing and platform operations.
11. Prohibited Activities
You must not:
- Violate laws or third-party rights.
- Attempt to hack, disrupt, or misuse the Platform.
- Engage in fraud, money laundering, or deceptive practices.
12. Limitation of Liability
To the maximum extent permitted by law:
- Gibemart is not liable for indirect, incidental, or consequential damages.
- Gibemart does not guarantee product quality, legality, or fitness for purpose.
13. Indemnification
All Users, Vendors, and Partners agree to indemnify and hold Gibemart harmless from claims, losses, or damages arising from their breach of these Terms or applicable laws.
14. Termination
Gibemart may suspend or terminate access at any time for violations, fraud, or legal requirements.
15. Governing Law and Jurisdiction
